Senior Legal Manager

We are looking for a talented lawyer with practical experience within M&A and/or renewables (alternatively real estate, financing law or other legal areas involving transactional related work, provided that in such case involvement in the transactional parts of these areas is vital) who wants to be part of a dynamic and fast-growing business working towards a greener future. You will join a team of ambitious and supportive lawyers who are dedicated to delivering high-end legal advice and presenting pragmatic and business-oriented solutions.

As part of the legal team in Nordic Solar, you will be working independently focusing on supporting in the activities related to the acquisition, development, and divestment of solar projects. You will be handling all phases of the projects, which includes drafting and negotiating various M&A documents, financing agreements, power purchase agreements and joint venture agreements, handling due diligence processes and providing general legal advice to Nordic Solar’s business. The work will in addition to your solid legal skillset require practical and commercial skills as the lawyers at Nordic Solar play a key role as trusted advisors and team members in relation to all activities and projects.

The role requires approx. 10 – 12 days of yearly travelling within Europe.

Areas of responsibility
As Senior Legal Manager you will be responsible for handling the following tasks:

  • Working closely with the M&A and Development team on project acquisition, development, and divestment of solar projects.
  • Drafting, reviewing, and negotiating a wide range of contracts, such as share purchase agreements, shareholders’ agreements, joint venture agreements, financing agreements, power purchase agreements, land lease agreements, real estate deeds, and other agreements related to the acquisition, development, and divestment of solar farms.
  • Act as project manager on the various projects related to the acquisition, development, and divestment of solar farms.
  • Managing stakeholders and contact with external legal advisers, consultants, and relevant authorities in Denmark and abroad.
  • Working with the M&A and Financing team on financing transactions and power purchase agreements.
  • Overseeing legal due diligence processes.
  • In cooperation with the M&A team, review tariff and subsidy regimes (national or corporate-based) as well as the overall regulatory framework under which the investments are made.

In addition to these areas of responsibility, you will from time to time provide legal advice to the management, as well as other departments within Nordic Solar on general legal matters.

Ideal experience
Education: You have a Master of Laws (cand.jur. or cand.merc.jur.) from Denmark or another EU country and possibly also license to practice as attorney-at-law from a reputable law firm.

Legal areas: You have minimum 6 years of experience from a law firm or in-house legal position, preferably within M&A and/or renewable energy projects, alternatively within other legal areas involving transactional work, such as real estate or financing transactions.

Drafting and negotiation skills: You have extensive experience with drafting and negotiation of various legal contracts and documents, especially M&A related documents.

Industry: Ideally, you have practical experience with the energy industry, e.g. from working in a renewable energy company (solar, bio or wind) or in the renewable energy department of a law firm.

Language skills: You have excellent written and verbal communication skills in the English language and substantial experience with legal English in relation to drafting and negotiating. The following languages are considered an advantage: German, Spanish, Polish, Portuguese, Danish or another European language.

International mindset: You have an international outlook and experience from working in an international environment.
